  • Company Overview

    The Senior Contracts Manager reports to the Corporate Vice President, Contracts. The primary responsibility of the position is drafting, reviewing, and approving complex purchasing contracts and agreements for the Corporation and its constituent business units. The individual will also support negotiations with major suppliers. Additional responsibilities include creating standardized contract templates, processes, tools, aides, and training programs for procurement personnel. The individual will also support and assist the Corporation’s Chief Procurement Officer in identifying and executing process improvement initiatives and projects.

    Position Summary and Responsibilities

    • Drafting a broad range of procurement contracts, including master supply agreements, service agreements, licensing agreements, and other complex contracts.
    • Conducting comprehensive reviews of major supplier contracts and commercial and legal terms and conditions to identify, mitigate, and/or eliminate unusual risks, liabilities, and remedies.
    • Leading or supporting the negotiation of legal and commercial contract terms and conditions with major suppliers.
    • Preparing and implementing a set of standardized contract templates and clauses.
    • Developing and implementing programs, policies, and processes aimed at improving and standardizing the procurement contract management function across the Corporation.
    • Providing Corporate-wide training covering relevant procurement topics.
    • Developing and conducting training programs aimed at improving the contract negotiating and drafting skills of procurement personnel.
    • Providing expert guidance to the Corporation’s business units on procurement contracting matters and issues.
    • Supporting the due diligence and post-acquisition integration activities for the procurement function of acquired companies.
    • Assisting the Corporation’s Vice President of Contract and its Chief Procurement Officer with various projects, initiatives, and assignments.
    • Domestic and international travel may be required up to ten percent (10%) of the time.


    • A Bachelor’s Degree in a relevant disciple is required. A Juris Doctor Degree is desired but not essential.
    • A minimum of ten (10) years of directly relevant experience in negotiating and drafting complex domestic and international procurement contracts.
    • Outstanding legal writing skills, with the ability to draft contracts and agreements that clearly, accurately, and concisely reflect the details, terms, obligations, liabilities, and remedies of the contracting parties.
    • Significant experience and expertise in drafting a wide variety of major procurement purchasing contracts, including master supply agreements, service agreements, licensing agreements, and other complex contracts.
    • Significant experience and success in negotiating legal and commercial terms with suppliers.
    • Significant experience in drafting special contract provisions detailing unique contract requirements, including volume commitments, requirements forecasting, cost/price adjustments, key performance indicators, and other contracts mechanisms that optimize and assure supplier performance.
    • Experience in training and mentoring.
    • Ability to manage a high volume of work at a detailed level.
    • Demonstrated business acumen with experience in developing innovative solutions and a successful record of problem-solving.
    • Ability to interact effectively with Corporate and business unit management, procurement personnel, and functional counterparts in a professional manner.
    • Absolute commitment to performing job in compliance with the highest ethical standards.
